Prepared legal brief in anticipation of a trademark infringement claim in New York. Advise clients on securing international IP protection by way of the Madrid Protocol.

Copyrights

 

Managed administration of syndication, mechanical, and synchronization rights for sound recordings, motion pictures, screen plays, and literary works. Attorney for non-profit Soul Food Cypher, Inc responsible for compliance with performance rights organizations license agreements such as BMI and ASCAP. Consulted international varying fair use laws, such as in the UK.

Contracts

 

Drafted and executed non-disclosure agreements, conflict of interest agreements, performance contracts, and memorandum of understanding contracts. Contract review for validity and effect.

Entertainment Industry

 

Developed marketing campaigns with FTC regulations for major artists in the entertainment industry including Sisco, Chucky Thompson, Big Daddy Kane, MC Lyte, Mose Stovall. Filed Federal appellate briefs in relation to artist recoupment/royalty statements recovering in excess of $300k. Reviewed & executed songwriter license agreements including fee payment agreements between EMI & ABC. Drafted a number of Non Disclosure Agreements circumventing the newly established ban on Non Compete Agreements. Successfully restored multiple musical works back to Digital Service Providers. Negotiations with CDBaby resulting in a successful AAA (American Arbitration Association) claim.

Specializing in Shipping Container residential development; Sustainability & cost efficient analysis using a holistic development approach. Built and fostered relationships with ground-up construction agents including Zoning and Code City Officials, Geotech scientists, Land surveyors, Architects, and General Contractors & Subcontractors. Closed land acquisition deal through property tax evaluation in equity of over $100k. Currently building single family residential residence in GA. Execute property tax appeals for lower fees or HELOC loans. Commercial and residential landlord-tenant lease evaluations, terminations and enforcements.

File LLC corporate entities including a comprehensive business entity search, filing Name Reservation, and drafting Articles of Incorporation/Organization. Drafted 501(3)(c) application with keen attention to the advantageous differences between IRS 1023EZ or IRS 1023. Advised clients on S-Corp formalities.
